These terms govern the use of the website www.managi.eu, operated by MANA GI SINGLE MEMBER P.C. (“ManaGi”, “we”, “us”), a company registered in Greece.

By browsing this website, registering an account or submitting a request, you accept these terms. If you do not accept them, please do not use the website.

2. Business customers only

This website is intended exclusively for businesses. By registering or placing a request you confirm that you are acting in the course of a trade, business, craft or profession, and not as a consumer.

Consumer protection legislation — including the statutory right of withdrawal for distance contracts — does not apply to transactions concluded through this website. We reserve the right to verify your business status and to refuse or cancel any registration or order that does not meet this requirement.

3. Account registration

Access to wholesale prices and to the product catalogue requires an approved account. You agree to provide accurate and complete information, to keep your credentials confidential, and to notify us immediately of any unauthorised use.

We may approve, refuse or suspend any account at our discretion, in particular where the information provided is inaccurate or where the applicant is not a business.

4. Products and product information

The products presented include food, beverages, natural cosmetics and related goods produced in Greece.

Product information — including ingredients, nutritional values, shelf life, certifications, origin and packaging specifications — is supplied to us by the respective producers. We take reasonable care in reproducing it, but we do not warrant its completeness or accuracy and we are not liable for errors originating from the producer. Before importing, you remain responsible for verifying that a product complies with the legislation of the destination country, including labelling and import requirements.

Product images are indicative. Packaging and appearance may change without notice.

5. Prices and quotations

Prices shown on the website are indicative and subject to change without notice. They do not constitute a binding offer.

A binding price is established only through a written quotation issued by us, which specifies quantities, incoterms, lead time and validity period. Unless stated otherwise, quotations are valid for the period indicated on them.

Unless expressly stated, prices exclude VAT, customs duties, import taxes and any charges levied in the destination country.

6. Orders

A request submitted through the website or by email constitutes an invitation to treat, not a contract. A contract is formed only when we confirm the order in writing.

We may decline an order where a product is unavailable, where the requested quantity is below the applicable minimum, where the destination country imposes restrictions, or where the customer has outstanding overdue payments.

Minimum order quantities apply per product and per shipment and are stated in the quotation.

7. Payment

Payment terms are agreed per order and stated on the invoice. Unless otherwise agreed in writing, payment is due before dispatch.

Card payments are processed by Revolut; we do not store card details. Bank transfer details are provided on the invoice.

Late payment entitles us to statutory default interest under Greek law and to suspend further deliveries until the account is settled.

8. Delivery, incoterms and title

Delivery terms are governed by the Incoterms specified in the quotation and order confirmation. Risk passes in accordance with the agreed incoterm.

Title to the goods remains with ManaGi until payment has been received in full.

Lead times are estimates given in good faith and depend on stock availability, production schedules and transport. Delays that are not attributable to us do not give rise to compensation or to a right of cancellation.

You must inspect the goods on arrival and notify us of any shortage, damage or non-conformity in writing within 7 calendar days of delivery, together with supporting evidence. Claims submitted after this period cannot be accepted.

9. Intellectual property

All content on this website — including text, images, logos, product photography, catalogues and layout — is the property of ManaGi or of its producers and is protected by intellectual property law.

You may use product images and descriptions solely for the purpose of reselling the products you have purchased from us. Any other reproduction, distribution or commercial use requires our prior written consent.

10. Liability

To the extent permitted by law, our liability arising from or in connection with a contract is limited to the invoiced value of the products concerned.

We are not liable for indirect or consequential loss, including loss of profit, loss of business, loss of contracts or reputational damage.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.

11. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, adverse weather affecting harvests, epidemics, war, strikes, transport disruption, port congestion, energy shortages, or acts of public authorities.

12. Availability of the website

We aim to keep the website available at all times but do not guarantee uninterrupted access. We may suspend access for maintenance, updates or security reasons without prior notice.

The website may contain links to third-party websites, including those of producers. We do not control and are not responsible for their content.

13. Personal data

The processing of personal data is described in our Privacy Policy, which forms an integral part of these terms.

14. Amendments

We may amend these terms at any time. The version in force is the one published on this page at the time your order is confirmed. Material changes will be announced on the website. We recommend reviewing this page periodically.

15. Governing law and jurisdiction

These terms are governed by Greek law. The courts of Athens, Greece have exclusive jurisdiction over any dispute arising from or in connection with them.

Since this website serves business customers only, the EU Online Dispute Resolution platform for consumers does not apply.
